General terms and conditions of sale (B2B)

Version 1.0 — October 2026

Article 1 — Scope

1.1 These general terms and conditions of sale (“Terms”) apply to all offers, orders and deliveries between Eurostyle SRL, Rue Mitoyenne 350, 4710 Lontzen, Belgium, company/VAT no. BE0460.264.406 (“the Seller”, “Eurostyle”) and any professional buyer (“the Customer”), including all orders placed via the B2B online shop on www.eurostyle.be or through our sales representatives.

1.2 Sales are reserved exclusively for professionals (B2B). By creating an account or placing an order, the Customer confirms that it is acting in the course of its business. The Seller does not sell to consumers via this website.

1.3 Where Eurostyle acts solely as commercial agent for a brand, the sales contract is concluded directly between the Customer and that brand; in that case, the terms of sale of the brand concerned apply.

1.4 The Customer’s general terms and conditions are expressly rejected, unless accepted by the Seller in writing.

Article 2 — Customer account

2.1 Access to the B2B shop, including prices, requires a customer account. The Seller checks every access request (including professional status and VAT number) and reserves the right to accept or refuse it without giving reasons.

2.2 The Customer keeps its login details confidential and informs the Seller without delay of any unauthorised use.

Article 3 — Offers, orders and conclusion of the contract

3.1 Catalogues, price lists and the content of the shop are non-binding invitations to order. Obvious errors in prices or product data may be corrected at any time.

3.2 An order placed by the Customer constitutes a firm offer. The contract is only concluded when the Seller confirms the order in writing (including by e-mail) or ships the goods.

3.3 The Seller may refuse orders in whole or in part, in particular if products are not available from the manufacturer.

Article 4 — Prices

4.1 All prices are wholesale prices in euros (EUR), excluding VAT and excluding delivery costs.

4.2 The price list in force on the date of the order applies. The Seller may adjust prices for future orders, in particular when manufacturers change their prices.

4.3 Recommended retail prices communicated by the Seller are non-binding recommendations. The Customer remains free to set its own resale prices.

Article 5 — Delivery

5.1 Deliveries in Belgium, Luxembourg and the Netherlands are made on the same terms. For orders below EUR 250 excluding VAT, a delivery charge of EUR 15 excluding VAT is invoiced.

5.2 Delivery times are indicative and non-binding, unless expressly agreed in writing. Items that are temporarily unavailable may be delivered later as a backorder.

5.3 The Seller may make partial deliveries where reasonable for the Customer; each partial delivery may be invoiced separately.

5.4 The risk of loss or damage passes to the Customer as soon as the goods are handed over to the carrier.

Article 6 — Payment

6.1 No payment is made via the online shop: orders are invoiced on delivery. Invoices are payable by the due date stated on the invoice.

6.2 In the event of late payment, interest and a lump-sum recovery compensation are due by operation of law and without prior notice, in accordance with the Belgian Act of 2 August 2002 on combating late payment in commercial transactions.

6.3 The Seller may require advance payment, in particular for a first order, and may suspend further deliveries if invoices remain unpaid after their due date.

Article 7 — Retention of title

7.1 Delivered goods remain the property of the Seller until full payment of the corresponding invoice, including interest and costs. The Customer may resell the goods in the normal course of its retail business before that time.

Article 8 — Inspection, complaints and returns

8.1 The Customer must inspect the goods on receipt. Visible defects, missing items or transport damage must be reported in writing within 8 calendar days of delivery; hidden defects must be reported in writing promptly after their discovery.

8.2 In the event of a justified complaint, the Seller will, at its option, replace the goods or credit the invoiced amount. Any other claim is governed by Article 10.

8.3 Returns are only accepted with the Seller’s prior written consent. Goods delivered correctly and free of defects are not taken back.

Article 9 — Intellectual property

9.1 Product images, texts and marketing materials provided by the Seller remain the property of the Seller or of the brands concerned and may only be used to promote the products concerned.

Article 10 — Liability

10.1 Except in the event of fraud, gross negligence or where liability cannot be limited by law, the Seller’s total liability per order is limited to the invoiced value of that order. The Seller is not liable for indirect or consequential damage, including loss of profit.

Article 11 — Force majeure

11.1 The Seller is not liable for failures or delays caused by circumstances beyond its reasonable control, including delivery delays by manufacturers, production or transport disruptions, shortages of raw materials, strikes and government measures. If such circumstances last longer than three months, either party may cancel the order concerned without compensation.

Article 12 — Data protection

12.1 The Seller processes personal data in accordance with its privacy policy, available on www.eurostyle.be/privacy.

Article 13 — Applicable law and jurisdiction

13.1 These Terms and all contracts arising from them are governed by Belgian law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

13.2 The courts of Liège, Belgium, have exclusive jurisdiction, without prejudice to the Seller’s right to bring proceedings before the courts of the Customer’s registered office.

13.3 If any provision of these Terms is invalid, the remaining provisions remain in force.
